These Terms & Conditions (“Terms”) govern your access to and purchase of digital products sold by Vögeli Prod., a Swiss sole proprietorship operated by Otis Vögeli, Nydeggstalden 36, 3011 Bern, Switzerland, VAT CHE-148.694.358 (“we”, “us”, “our”).

By visiting our website or purchasing any product, you agree to these Terms, as well as our Privacy Policy and Refund Policy (together, the “Policies”).

1. Products

We sell digital products, including Notion templates and related digital resources (the “Products”). Products are delivered electronically and require no physical shipping.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your place of residence) to purchase. You agree that you are purchasing for personal use or internal business use and not for resale unless explicitly authorized in writing.

3. Website, Landing Page, Checkout & Payments

3.1 Landing page hosting. Our marketing/landing pages may be hosted by Lovable (a third-party provider).

3.2 Store & checkout. Our checkout is processed by Shopify and payment processing is handled via Shopify Payments. Your purchase may also be subject to Shopify’s terms and policies.

3.3 Pricing. Prices displayed at checkout are the final prices at the time of purchase and may change at any time before purchase.

3.4 Taxes. VAT or other sales taxes may apply depending on your location and applicable laws.

3.5 Order confirmation. After payment confirmation, you will receive purchase confirmation and access instructions by email.

4. Digital Delivery

4.1 Delivery method. Products are delivered digitally, typically immediately after purchase, via email and/or a link to duplicate the Notion template.

4.2 Email accuracy. You are responsible for providing a valid email address at checkout. If you do not receive your email, check spam/junk folders and contact support@optima-music.com.

4.3 Notion requirement. You may need a Notion account (free or paid) to use the Product. Notion is a third-party service and we do not control its availability, performance, or pricing.

5. License & Usage Rules

5.1 License grant. Upon purchase, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Product for your personal use or internal business use. All intellectual property rights remain with Vögeli Prod.

5.2 Permitted use. You may duplicate the Notion template into your own Notion workspace and modify/customize it for your own use.

5.3 Prohibited use. You may not, directly or indirectly:

• share, sell, resell, sublicense, rent, lease, or distribute the Product or any derivative version;
  
• make the Product available to third parties (including clients, communities, or team members) unless explicitly authorized in writing;
  
• publish the Product or substantial parts of it online (publicly or privately);
  
• bundle the Product into another product, course, or service;
  
• claim ownership or authorship of the Product;
  
• attempt to bypass technical or contractual restrictions related to access or licensing.
  
  5.4 Single-user license. Unless explicitly stated otherwise at checkout, each purchase grants a single-user license. If you need a multi-user license, contact support@optima-music.com before use.
  
  5.5 Termination. This license automatically terminates if you violate these Terms. Upon termination, you must stop using the Product and delete all copies under your control.
  

6. Support

Support is provided by email only: support@optima-music.com.

Support covers access/delivery issues and questions directly related to the Product. It does not include consulting, custom builds, or general Notion training unrelated to the Product.

7. Refunds

Refunds are governed by our Refund Policy, which is incorporated by reference. We currently offer a 14-day refund period from the date of purchase, subject to the conditions stated in the Refund Policy.

8. Intellectual Property

All Products and related content (including templates, databases, text, structure, and design) are owned by Vögeli Prod. or its licensors and are protected by intellectual property laws. Except for the limited license granted above, no rights are transferred to you.

9. Disclaimers

9.1 As-is. Products are provided “as is” and “as available”, to the maximum extent permitted by law.

9.2 Third-party services. We are not responsible for outages, changes, or limitations of third-party services (including Notion, Lovable, Shopify) beyond our control.

9.3 No guaranteed outcomes. We do not guarantee specific results from using the Product.

10. Limitation of Liability

To the maximum extent permitted by law, Vögeli Prod. shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim related to a Product shall not exceed the amount you paid for that Product. Nothing in these Terms limits liability that cannot be excluded under applicable law.

11. Prohibited Conduct

You agree not to use our Products or website for unlawful, fraudulent, or abusive purposes, to violate our license terms, or to infringe our intellectual property. We may refuse service or revoke access in cases of suspected fraud or abuse, subject to applicable law.

12. Changes to These Terms

We may update these Terms from time to time. The version published at the time of purchase generally applies to that purchase unless a change is required by law.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of Switzerland, excluding conflict of laws rules and excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

Jurisdiction is the competent courts of the Canton of Bern, Switzerland, unless mandatory consumer protection laws grant you the right to bring claims elsewhere.
